Agreement to Terms

By accessing or using Red Pulse Systems, LLC ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including organizations and individual users within those organizations.

1. Service Description

Red Pulse Systems, LLC provides cloud-based inventory management software designed specifically for emergency medical services. The Service includes:

  • Real-time inventory tracking, batch management, and related core workflows (scope varies by plan)
  • Controlled substance (narcotic) tracking and compliance tools (Professional and Enterprise)
  • Supply order, back order, and vendor workflows (Professional and Enterprise)
  • Usage analytics, advanced reporting, and forecasting features (scope varies by plan; ML intelligence on Enterprise)
  • Mobile and web access

Plan-based access: Specific modules, usage limits (such as locations and user seats), and support levels depend on your subscription tier. The Pricing page describes what is included with Essential, Professional, and Enterprise.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

2. Account Registration

Eligibility

You must be at least 18 years old and authorized to bind your organization to these Terms. By creating an account, you represent that you have the authority to do so.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your team members use the Service appropriately

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update this information as needed.

3. Subscription Plans and Billing

Subscription Plans

We offer multiple subscription plans as described on our Pricing page:

  • Essential: $149/month
  • Professional: $349/month
  • Enterprise: $999/month

Billing

  • Subscriptions are billed monthly in advance
  • Credit card required for all plans
  • Payment processing is handled securely by Stripe
  • Billing occurs on the same day each month based on your signup date
  • All prices are in USD

Automatic Renewal

Your subscription will automatically renew each month unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount.

Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you don't agree to the price change, you may cancel your subscription.

Failed Payments

If your payment fails, we will attempt to charge your payment method again. If payment fails after multiple attempts, we may suspend or terminate your account. You remain responsible for all unpaid amounts.

4. Refund Policy

7-Day Refund Window: You may request a full refund within 7 days of your initial subscription charge. To request a refund, contact us at hello@redpulsesystems.com.

After the 7-day window:

  • Monthly subscription fees are non-refundable
  • You may cancel at any time to stop future billing
  • No refunds or credits for partial months
  • You retain access until the end of your current billing period

Refunds are processed within 5-10 business days to your original payment method.

5. Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • You retain access until the end of your current billing period
  • Your subscription will not renew
  • Your data will be retained for 90 days (see Data Retention below)
  • You may export your data at any time before or after cancellation

Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails repeatedly
  • Your use of the Service poses security or legal risks
  • You engage in fraudulent or illegal activity

We will provide reasonable notice before termination unless immediate termination is necessary for legal or security reasons.

6. Data Ownership and Retention

Your Data Belongs to You

All inventory data, usage logs, and content you create in the Service ("Your Data") belongs to you. We do not claim any ownership rights to Your Data. You grant us permission to host, backup, and process Your Data solely to provide the Service.

Data Export

You may export Your Data at any time in CSV format. We recommend regular backups for your records.

Data Retention After Cancellation

90-Day Grace Period: After you cancel your subscription, we retain Your Data for 90 days. During this period:

  • You can reactivate your subscription and regain full access
  • You can request a data export
  • You cannot access the Service, but your data remains intact

Permanent Deletion: After 90 days, all Your Data is permanently deleted from our systems. This deletion is irreversible.

Immediate Deletion

If you want your data deleted immediately upon cancellation (instead of the 90-day retention), contact us at hello@redpulsesystems.com. We will delete your data within 30 days of your request.

7. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to transmit viruses, malware, or harmful code
  • Scrape, copy, or reverse engineer the Service
  • Share your account credentials with unauthorized users
  • Use the Service to store or transmit content that infringes on intellectual property
  • Resell, rent, or redistribute the Service without our permission

8. Service Availability and Support

Uptime Target

We target 99.5% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime, whether scheduled or unscheduled.

Maintenance

We may perform scheduled maintenance that temporarily interrupts the Service. We will provide advance notice when possible, but emergency maintenance may occur without notice.

Support

Support varies by plan:

  • Essential: Email and ticket support — typical first response within 24–48 business hours
  • Professional: Priority email and ticket support — typical first response within ~12 business hours
  • Enterprise: Priority phone and email support, SLA as agreed, and dedicated onboarding options

Target response times are goals only and are not guaranteed. Actual response may vary by volume and severity.

9. Intellectual Property

Our Property

The Service, including all software, features, design, text, graphics, and logos, is owned by Red Pulse Systems, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Property

You retain all rights to Your Data. By using the Service, you grant us a limited license to host, backup, and process Your Data to provide the Service. This license ends when you delete Your Data or your account is terminated.

Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you. You grant us an unlimited, perpetual license to use such feedback to improve the Service.

10. Disclaimers and Limitations of Liability

"As-Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Medical Advice

The Service is an inventory management tool. It does not provide medical advice, diagnosis, or treatment. You are solely responsible for ensuring proper inventory management and compliance with all applicable regulations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RED PULSE SYSTEMS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, consequential, or special damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Errors or inaccuracies in the Service
  • Third-party actions or content

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Red Pulse Systems, LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY. You waive your right to a jury trial.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized access to the Service.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you don't agree to the updated Terms, you must cancel your subscription.

14. General

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Red Pulse Systems, LLC regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
